Welcome to Black Leopard.

These Terms of Service (“Terms”) govern your access to and use of b-leopard.com (the “Website”) and your purchase or use of products and services offered through the Website.

The Website and the Black Leopard brand are owned and operated by LEOPARD RIDGE INC., a company registered in the State of Washington (“Black Leopard,” “Company,” “we,” “us,” or “our”).

Please read these Terms carefully before using the Website or placing an order.

BY ACCESSING OR USING B-LEOPARD.COM, CREATING AN ACCOUNT, OR PLACING AN ORDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND THE POLICIES INCORPORATED INTO THEM.

If you do not agree to these Terms, please do not use the Website or purchase products from Black Leopard.

IMPORTANT: SECTION 24 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT MAY AFFECT YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.

1. Eligibility

You must be at least 18 years old, or the age of legal majority in your jurisdiction, to place an order through the Website.

By using the Website or purchasing a product, you represent that you have the legal capacity to enter into a binding agreement.

If a Black Leopard product is purchased for use by a minor, the purchaser is responsible for ensuring appropriate adult supervision and compliance with all applicable laws, safety instructions, product warnings, and age requirements.

Black Leopard may update these Terms from time to time to reflect changes in:

Website functionality;
Policies;
Technology; or
Applicable laws or regulations.

Unless otherwise required by law, changes will apply prospectively from the date they become effective.

Black Leopard grants you a limited, personal, non-exclusive, non-transferable, and revocable right to access and use the Website for lawful personal and shopping purposes.

You may not use the Website:

For unlawful or fraudulent purposes;
To interfere with Website security or operation;
To transmit viruses, malware, or malicious code;
To gain unauthorized access to systems or accounts;
To impersonate another person or entity;
To provide fraudulent payment information;
To abuse promotions, refunds, or return programs;
To scrape or extract Website data for unauthorized commercial purposes;
To infringe intellectual property rights; or
In any manner that violates applicable law.

We may restrict or suspend access where reasonably necessary to protect our customers, Website, systems, business, or legal rights.

Dimensions;

Performance information; and
Other product information.

However, actual products may differ slightly from photographs or descriptions due to:

Manufacturing updates;
Component availability;
Product improvements;
Lighting;
Screen settings; or
Other reasonable factors.

Black Leopard may make reasonable changes to components or specifications provided that such changes do not materially reduce the intended functionality of the product.

We reserve the right to correct errors, inaccuracies, or omissions.

6. Product Performance Estimates

Specifications relating to matters such as:

Riding range;
Maximum speed;
Battery range;
Charging time;
Motor output;
Hill-climbing capability;
Payload capacity; and
Other performance measurements

may be based on controlled testing or typical operating conditions.

Actual results may vary depending on factors including:

Rider weight;
Passenger or cargo weight;
Terrain;
Elevation;
Temperature;
Weather;
Tire pressure;
Riding speed;
Pedal-assist level;
Throttle use;
Battery condition;
Riding habits; and
Maintenance.

Unless expressly stated otherwise, such performance figures are estimates and are not guarantees of individual performance.

7. E-Bike Classification and Local Laws

Electric bicycle laws vary by state, county, city, park, trail system, and other local jurisdiction.

Customers and riders are responsible for determining whether and where a particular Black Leopard product may legally be operated.

Applicable laws may address:

E-bike classification;
Rider age;
Helmet requirements;
Maximum assisted speed;
Motor power;
Throttle use;
Passenger transportation;
Child transportation;
Road use;
Bicycle lane use;
Sidewalk use;
Trail use;
Park use;
Licensing;
Registration; and
Safety equipment.

Black Leopard does not represent that every e-bike or configuration sold through the Website may legally be operated in every location.

The rider is responsible for complying with applicable laws and regulations.

8. Product and Riding Safety

Riding an electric bicycle involves inherent risks, including risks of:

Collision;
Falling;
Property damage;
Serious personal injury; and
Death.

Before operating a Black Leopard e-bike, users should:

Read the owner's manual;
Follow product warnings;
Inspect the bicycle before riding;
Check brakes and tires;
Confirm that the battery is properly installed;
Wear an appropriately fitted helmet;
Use appropriate protective equipment;
Follow traffic laws;
Observe passenger and cargo limits; and
Maintain the product in accordance with manufacturer recommendations.

Do not operate an e-bike while impaired by alcohol, drugs, medication, fatigue, or another condition that may prevent safe operation.

Nothing in this section limits liability that cannot lawfully be excluded.

9. Battery and Charger Safety

Black Leopard e-bikes may use rechargeable lithium-ion batteries.

Customers must follow all instructions and safety warnings relating to batteries and chargers.

Do not use a battery or charger that:

Is visibly damaged;
Is swollen;
Is leaking;
Has been submerged in water;
Produces unusual odors;
Becomes abnormally hot;
Has been improperly modified; or
Otherwise appears unsafe.

Use only compatible charging equipment intended for the applicable product.

Do not:

Puncture or crush batteries;
Expose batteries to open flame or excessive heat;
Intentionally short-circuit batteries;
Improperly disassemble battery packs;
Use incompatible chargers; or
Perform unauthorized battery-cell repairs.

If you believe a battery or charging system may be unsafe, discontinue use and contact support@b-leopard.com.

10. Pricing

Unless otherwise stated, prices displayed on b-leopard.com are in U.S. dollars (USD).

Prices may change at any time before an order is accepted.

Applicable sales taxes and other legally required charges will be calculated and collected where required.

A change in Website pricing does not generally affect an order that has already been accepted, except in the case of an obvious pricing error and to the extent permitted by applicable law.

11. Promotions and Discounts

Black Leopard may offer:

Promotional pricing;
Discount codes;
Automatic discounts;
Coupons;
Bundle offers;
Free gifts; and
Other promotions.

Promotions may be subject to:

Start and end dates;
Product exclusions;
Inventory availability;
Geographic restrictions;
Quantity restrictions;
Minimum purchase requirements; and
Additional promotional conditions.

Unless expressly stated otherwise, promotions and discount codes may not be combined.

Promotional offers may end when applicable inventory is sold out.

We reserve the right to correct obvious promotional, technical, or pricing errors to the extent permitted by law.

12. Orders and Order Acceptance

Submitting an order through b-leopard.com constitutes an offer to purchase the products listed in the order.

An automated order confirmation means that Black Leopard has received your order. It does not necessarily mean that the order has been finally accepted.

Where permitted by law, Black Leopard may reject or cancel an order for reasons including:

Product unavailability;
Incorrect pricing;
Incorrect product information;
Payment authorization failure;
Suspected fraud;
Unauthorized payment;
Shipping restrictions;
Abuse of promotions; or
Unusually large quantities suggesting unauthorized resale.

If Black Leopard cancels an order after payment has been collected, the applicable amount will be refunded.

13. Order Cancellation and Modification

Customers who wish to cancel or modify an order should contact:

as soon as possible.

We will make reasonable efforts to accommodate cancellation or modification requests before shipment.

Once an order has entered fulfillment or shipment, cancellation or modification may no longer be possible.

Orders canceled or refused after shipment may be subject to applicable:

Return shipping costs;
Return-to-warehouse charges;
Carrier charges; and
Restocking fees

under the Black Leopard Return & Refund Policy.

14. Payment

Black Leopard accepts the payment methods displayed during checkout.

By submitting payment information, you represent that:

The information provided is accurate and complete;
You are authorized to use the selected payment method; and
You authorize Black Leopard and its payment service providers to process the applicable payment.

Payments may be processed by third-party payment providers.

Use of third-party payment or financing services may also be subject to the applicable provider's terms and privacy practices.

Nothing in these Terms limits payment dispute or consumer rights that cannot legally be waived.

15. Shipping and Delivery

Shipping and delivery are governed by the Black Leopard Shipping Policy, which is incorporated into these Terms by reference.

Black Leopard currently provides free standard shipping for eligible orders within the supported area of the contiguous United States.

Black Leopard currently does not ship to:

Alaska;
Hawaii; or
Puerto Rico.

Standard order processing is generally 1–5 business days, followed by an estimated transportation period of approximately 3–7 business days.

Delivery estimates are not guaranteed unless expressly stated otherwise.

Customers are responsible for providing accurate shipping information.

Additional transportation costs resulting from an incorrect customer-provided address, customer-requested rerouting, or unjustified delivery refusal may be the customer's responsibility.

16. Returns and Refunds

Returns and refunds are governed by the Black Leopard Return & Refund Policy, which is incorporated into these Terms by reference.

Black Leopard's standard return policy generally provides that:

Eligible standard returns must be requested within 15 days after delivery;
Products must remain completely unopened;
Opened, assembled, tested, ridden, or used products are not eligible for standard change-of-mind returns;
Standard returns are not accepted after 15 days, even if unopened;
Customers are responsible for applicable return shipping costs for eligible standard returns;
Eligible standard returns are subject to a 10% restocking fee; and
All returns must receive authorization from Black Leopard before being shipped back.

Different procedures apply where an item is defective, damaged during transportation, or incorrectly shipped.

17. Limited Warranty

Black Leopard products may be covered by the Black Leopard Limited Warranty Policy, which is incorporated into these Terms by reference.

Current warranty terms include a 2-year limited warranty for eligible e-bike batteries against qualifying manufacturing defects.

Warranty and after-sales coverage for certain parts and frame-related issues will depend on the circumstances described in the Limited Warranty Policy.

Complimentary promotional gifts are not covered by the Limited Warranty, except where applicable law requires otherwise.

The Limited Warranty generally applies only to the original purchaser and is not transferable to a subsequent owner.

Warranty claims may require:

Order number;
Product information;
Photographs;
Videos;
Serial number; and
Other reasonably necessary diagnostic information.

18. Product Modifications

Modifying an e-bike may affect its:

Safety;
Performance;
Reliability;
Legal classification; and
Warranty coverage.

Customers should not improperly modify or bypass safety-related systems, including:

Controllers;
Battery management systems;
Electrical wiring;
Braking systems;
Speed-related systems; or
Other safety equipment.

Modification of a product does not necessarily eliminate all warranty rights solely because a modification occurred.

However, damage or failure caused or contributed to by improper modifications, incompatible components, or improper third-party repairs may not be covered under the Limited Warranty.

19. Privacy

Black Leopard's collection and processing of personal information is governed by our Privacy Policy.

Certain users may also have additional choices regarding advertising technologies, sale or sharing of personal information, or targeted advertising through our Your Privacy Choices page.

Please review both policies for information regarding:

Information collection;
Cookies;
Advertising technologies;
Personal information disclosures;
Consumer privacy rights; and
Privacy opt-out options.

20. Intellectual Property

Unless otherwise stated, the Website and its contents are owned by or licensed to LEOPARD RIDGE INC.

Protected content may include:

The Black Leopard name;
Logos;
Trademarks;
Product names;
Photographs;
Videos;
Product descriptions;
Graphics;
Website designs;
Text;
Software; and
Other creative materials.

You may not reproduce, distribute, sell, modify, license, or commercially exploit protected Website content without authorization, except where permitted by applicable law.

21. Reviews and User Content

Customers may have the opportunity to submit:

Product reviews;
Photographs;
Videos;
Comments;
Testimonials; or
Other content.

You retain ownership of your original User Content.

By voluntarily submitting User Content through Website features intended for publication, you grant Black Leopard a non-exclusive, worldwide, royalty-free license to host, display, reproduce, distribute, and use that content for operating, promoting, and improving Black Leopard and its products, subject to applicable law.

Nothing in these Terms prohibits, restricts, or penalizes a customer for posting an honest review or expressing a genuine opinion about Black Leopard, our products, or our services.

Black Leopard may remove content where permitted by law, including content that:

Is unlawful;
Contains threats or harassment;
Infringes another person's rights;
Contains private or confidential information;
Contains malware or spam;
Is fraudulent or knowingly false; or
Is unrelated to the relevant product or service.

22. Third-Party Services

The Website may integrate or link to third-party services such as:

Payment processors;
Financing providers;
Shipping carriers;
Social media services;
Advertising services;
Analytics providers; and
Other independent platforms.

Third-party services may be governed by their own terms and privacy policies.

Black Leopard does not control independent third-party services and is not responsible for their independent conduct except where applicable law provides otherwise.

23. Disclaimer and Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE AND GENERAL WEBSITE CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.

BLACK LEOPARD DOES NOT GUARANTEE THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

THIS WEBSITE DISCLAIMER DOES NOT REPLACE OR ELIMINATE ANY PRODUCT WARRANTY OR CONSUMER RIGHT THAT CANNOT LAWFULLY BE DISCLAIMED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEOPARD RIDGE INC. AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATING TO USE OF THE WEBSITE OR PRODUCTS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING FROM A PARTICULAR TRANSACTION WILL NOT EXCEED THE AMOUNT ACTUALLY PAID FOR THE PRODUCT OR SERVICE GIVING RISE TO THE CLAIM.

THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED, including where applicable law prohibits limitation for:

Personal injury;
Defective products;
Fraud;
Gross negligence;
Willful misconduct;
Statutory consumer rights; or
Other legally protected claims.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, these provisions apply only to the maximum extent permitted by law.

24. Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY.

This section may affect your right to bring certain disputes in court or participate in a class proceeding.

24.1 Informal Dispute Resolution

Before initiating arbitration, you and LEOPARD RIDGE INC. agree to make reasonable, good-faith efforts to resolve a dispute informally.

A written dispute notice should include:

Order number, if applicable;
Description of the dispute; and
Requested resolution.

Legal Dispute Notice

The parties will generally have at least 30 days after receipt of the notice to attempt to resolve the dispute before arbitration begins, unless immediate legal action is reasonably necessary.

24.2 Agreement to Arbitrate

Except for the exclusions described below, you and LEOPARD RIDGE INC. agree that disputes arising out of or relating to:

These Terms;
b-leopard.com;
Your order;
Your purchase;
Black Leopard products; or
Your relationship with Black Leopard

will be resolved through individual binding arbitration rather than litigation in court, to the extent permitted by applicable law.

Arbitration will be administered by the American Arbitration Association (“AAA”) pursuant to its applicable Consumer Arbitration Rules then in effect.

The Federal Arbitration Act (“FAA”) governs the interpretation and enforcement of this arbitration agreement.

24.3 Exceptions

Nothing in this arbitration provision prevents either party from:

Bringing an eligible individual claim in small claims court;
Seeking appropriate relief involving intellectual property rights; or
Exercising a right or remedy that applicable law does not permit to be waived or subjected exclusively to arbitration.

24.4 Arbitration Procedure

Arbitration may be conducted through:

Written submissions;
Telephone;
Videoconference; or
Another procedure permitted under the applicable AAA Consumer Arbitration Rules.

The location and allocation of arbitration fees will comply with applicable law and applicable AAA rules.

24.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AND LEOPARD RIDGE INC. AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ACTION.

This provision applies only to the extent permitted by applicable law.

24.6 Jury Trial Waiver

For disputes properly subject to arbitration, each party waives the right to have the dispute decided by a judge or jury in court.

24.7 Arbitration Opt-Out

You may opt out of the arbitration provisions in this Section by sending written notice within 30 days after you first accept these Terms.

Email address associated with your order or account; and
A clear statement that you wish to opt out of the Black Leopard arbitration agreement.

Opting out of arbitration does not affect your ability to purchase Black Leopard products or the remaining provisions of these Terms.

25. Governing Law

Except for matters governed by the Federal Arbitration Act and subject to any mandatory consumer rights that cannot lawfully be waived, these Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

If you reside in another jurisdiction, this choice of law does not deprive you of mandatory consumer protections that apply to you and cannot legally be waived.

For disputes that are not required to be arbitrated, the applicable court and venue will be determined in accordance with applicable law.

26. Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless LEOPARD RIDGE INC. and its affiliates, officers, directors, employees, and agents from third-party claims, losses, liabilities, damages, and reasonable costs arising from:

Your unlawful use of the Website;
Your material violation of these Terms;
Your infringement of another person's rights; or
Your intentional misuse of Black Leopard products.

This provision does not require a consumer to indemnify Black Leopard for:

Defective products;
Black Leopard's own negligence;
Black Leopard's unlawful conduct; or
Liability that applicable law does not permit to be transferred to the consumer.

27. Force Majeure

To the maximum extent permitted by law, Black Leopard will not be responsible for delays caused by circumstances reasonably beyond our control, including:

Natural disasters;
Severe weather;
Fire;
Flood;
Earthquake;
War;
Civil unrest;
Government actions;
Public health emergencies;
Transportation interruptions;
Carrier disruptions;
Labor disputes;
Utility failures; or
Communication failures.

This section does not eliminate any cancellation, refund, shipping, or other consumer rights required by applicable law.

28. Severability

If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permitted by law or severed where appropriate.

The remaining provisions will continue in full force and effect.

29. No Waiver

Failure by Black Leopard to enforce any provision of these Terms does not constitute a waiver of that provision or any other right.

30. Assignment

You may not assign your rights or obligations under these Terms without prior written consent where such consent may lawfully be required.

LEOPARD RIDGE INC. may assign these Terms in connection with:

A merger;
Acquisition;
Corporate restructuring;
Financing;
Sale of assets; or
Similar business transaction,

subject to applicable law.

31. Entire Agreement

These Terms, together with the policies incorporated by reference, constitute the agreement between you and LEOPARD RIDGE INC. regarding your use of the Website and applicable purchases.

The incorporated policies include:

Privacy Policy;
Your Privacy Choices;
Shipping Policy;
Return & Refund Policy;
Limited Warranty Policy; and
Any applicable product-specific or promotional terms.

If a specific written policy or warranty conflicts with these Terms regarding the subject matter governed by that policy, the more specific applicable policy will control to the extent permitted by law.
